_ The Treasure Valley Angel Fund, LLC was launched in 2012 as
an investment fund organized for the purpose of pooling the capital resources
of accredited investors in and around the Treasure Valley region of Idaho, and
investing those pooled capital resources in early stage companies. The Fund’s
objective is to promote business and economic development in the region while
providing its members with the potential for investment returns. The Fund is
selling up to 40 units of membership interest at $50,000 per unit.
The investment is very risky. If you cannot afford to lose your entire investment, you should not think about subscribing to purchase units in the Fund.

Investors must be residents of Idaho
- Investors must qualify as an accredited investor, (as that term is used and defined in Regulation D under the Securities Act of 1933, as amended). Generally an accredited investor along with his or her spouse must have a net worth not including the equity in his or her primary residence of more than $1 million.
- Investors must also represent that his or her investment
does not exceed 10% of the investor’s net worth, exclusive of the investor’s
home, automobiles and furnishings.
